USPE IPO Explained Before It Starts Trading

USPE, the Tap US Private Equity Fund of Funds, is one of the most interesting new IPO-style listings hitting Robinhood and the NYSE.

But USPE is not a normal stock IPO.

USPE is a closed-end fund designed to give retail investors exposure to private equity funds, which means investors are buying a fund that holds interests in other private equity funds.

In this video I break down:

* What USPE actually is
* How a private equity fund-of-funds works
* Why Robinhood is offering access to products like this
* The key risks around valuation, liquidity, transparency, and fund structure

According to the SEC filing, USPE plans to invest at least 80% of its assets in U.S.-focused private equity funds and expects to hold a broad portfolio of underlying funds.

This is a major shift in how private market exposure could reach retail investors.

But before buying a ticker like USPE, investors should understand that this is not the same as buying a regular operating company.
