(Section 174) Quorum of Board Meeting
Quorum : It is actually the minimum number of Directors who are competing to transact the business in meeting or to vote in any business.In other words, Quorum is the minimum number of Directors needed to run a Board of meeting .
Quorum : It would be Higher of 1/3 of the total strength or 2 Directors whichever is higher

Section 175 (Resolution by Circulation)
There is no requirement of holding a board meeting which means instead of holding a board meeting you get a matter discussed .
When you pass the Resolution : Two Conditions
1) Resolution + necessary papers
2) Resolution noted and entered in the minutes
