Rio Tinto and Glencore are expected to announce an extension to their merger discussions ahead of a UK regulatory deadline, giving Rio more time to assess the strategic and financial merits of a potential deal. Under UK takeover rules, Rio must either make a firm offer, walk away, or request an extension by the February 5 deadline. While Glencore is reportedly open to an extension, the outcome remains uncertain as Rio weighs growing internal and shareholder concerns.

The talks, first disclosed in January, raised the prospect of creating the world’s largest mining company with a combined market value of nearly $207 billion and significant exposure to copper, a metal seen as critical to the global energy transition. However, volatility in commodity markets and a sharp rise in copper prices have complicated valuation discussions, making the timing and pricing of any deal more contentious.

Investor resistance, particularly from Australia-based shareholders, has become a key hurdle. Many are opposed to Rio Tinto paying a premium for Glencore, citing operational challenges, early-stage copper projects, and uncertainty over the strategic value of Glencore’s marketing and trading arm. Some shareholders argue that while select copper assets may be attractive, much of Glencore’s broader portfolio does not clearly align with Rio’s long-term priorities.

Beyond valuation, governance and geopolitical factors are also in play. Reports suggest Rio wants to retain its existing leadership structure, while Glencore is pushing for a substantial premium. Any merger would likely face regulatory scrutiny, especially from China, a major commodity buyer wary of market concentration. As a result, while an extension appears likely, the path to a definitive deal remains far from certain.
