Difference Between an LLC & Corporation

In this Corporate Direct Whiteboard Lesson, Garrett Sutton explains the difference between Limited Liability Companies and Corporations. While they are both corporate entities that can help protect your assets, they are not created equal. The corporation may be good for business looking to go public or who need certain tax requirements, while the LLC is really good for holding companies and protecting assets in a multitude of states.

Which entity you choose really depends on the needs of your business. For example, in some states, you won’t be able to do business as an LLC, and while the S Corporation has great tax incentives, you can only issue 100 shares. C Corporations are great for going public, but they are only eligible for charging order protection in Nevada. There is a lot to keep in mind when forming your first entity.
